Hydro Systems Terms of Use (“Terms”)

These Terms are a contract between You and Hydro Systems, Inc. (“Hydro Systems,” “Company,” “We,” “Us,” or “Our”) with regard to the access and use of Our website located at https://hydrosystem.com and its component pages, and any product or service associated with hydrosystem.com (collectively, “Website”). The Website is made available to You pursuant to these Terms. Please read these Terms fully and carefully before accessing and using the Website.

IF YOU DO NOT AGREE WITH THE TERMS SET FORTH BELOW AND OUR PRIVACY POLICY[1] (INCLUDING ANY MODIFICATIONS THERETO), YOU SHOULD EXIT THE WEBSITE. HOWEVER, THESE TERMS AND OUR PRIVACY POLICY WILL APPLY TO ALL OF YOUR INFORMATION AND ACTIONS PRIOR TO EXITING THE WEBSITE.

Any and all additional terms and conditions are hereby incorporated within these Terms.

By using this Website, You represent that You are either: i) of legal age to enter into these Terms; or, ii) are at least 13 years of age and are using the Website under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. WE DO NOT ALLOW ANYONE WHO WE KNOW IS BELOW AGE 13 TO USE OUR WEBSITE. BY ACCESSING AND USING THE WEBSITE, YOU OR YOUR PARENT OR LEGAL GUARDIAN AGREE AND CONSENT TO BE BOUND BY THESE TERMS. THE WEBSITE IS NOT AVAILABLE TO ANY PERSONS SUSPENDED OR REMOVED FROM THE WEBSITE BY THE COMPANY. IN USING THE WEBSITE, YOU REPRESENT THAT YOU ARE A PERSON WHO HAS NOT BEEN SUSPENDED OR REMOVED FROM THE WEBSITE. Please note that these Terms contain provisions that govern the resolution of claims between Hydro Systems and You, including an arbitration agreement, class action waiver, and jury trial waiver that affect Your rights. Please see the Legal Disputes[2] section for details and review carefully.
    • Website Features. The Website contains certain features and functionality, including the ability to receive content. We reserve the right, in Our sole discretion, to change, modify, remove, or add any features, products, services, or terms offered on the Website. This includes without limitation any features regarding Our products and services and contacting Us. Hydro Systems strives to ensure that all content on the Website, including product, availability, and price information, is accurate, complete, and current, but Hydro Systems does not warrant the accuracy or completeness of the content made available on the Website, or the availability of all products and services offered on the Website. The colors You see on the Website may depend on the device You are using to view the Website. Information on the Website may contain typographical or other human errors and may not be complete or current despite Our efforts. We will attempt to address any inaccurate or incomplete content after We are made aware of it. All weights and sizes may be approximate. The Website is presented on an “AS IS” basis.

THE THIRD-PARTY WEBSITES ARE NOT CONTROLLED BY US AND NEITHER THESE TERMS OF USE NOR OUR PRIVACY POLICY APPLY TO SUCH THIRD-PARTY SITES. ACCORDINGLY, WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING SUCH THIRD-PARTY WEBSITES, HAVE NO RESPONSIBILITY FOR THE OPERATION OR CONTENT OF SUCH THIRD-PARTY WEBSITES, AND WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY YOUR USE OF OR RELIANCE ON SUCH THIRD-PARTY WEBSITES. You acknowledge that (a) products advertised for sale on the Website, and (b) any software technology or content on the Website, is subject to customs and export control laws and regulations of the United State of America and may also be subject to the customs and export laws and regulations of the country in which the products are received and the content is accessed, and You agree to comply with all applicable laws.   3. Notice to California Residents.

    California Proposition 65 requires that special warnings be provided when products contain chemicals known by the State of California to cause cancer, birth defects, or other reproductive harm if the use of those products may cause exposure to those chemicals above specific limits.     Violations of the Terms, including without limitation provisions above, will be determined by the Company in its sole discretion and may result in, among other things, termination of Your access to the Website.

  5. Ownership; Proprietary Rights.

    The arrangement and layout of the Website, including but not limited to, images, text, graphics, and other content or material, are the sole and exclusive property of Hydro Systems. COPYING, REPRODUCTION, MODIFYING, REPUBLISHING, UPLOADING, DOWNLOADING, POSTING, TRANSMITTING, MAKING DERIVATIVE WORKS OF OR DUPLICATING ALL OR ANY PART OF THE WEBSITE IS PROHIBITED.

  6. Limitation on Liability.

    IN NO EVENT WILL HYDRO SYSTEMS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBSIDIARIES OR SUCCESSORS, PROVIDING INFORMATION ON THIS WEBSITE OR VIA OTHER CHANNELS, INCLUDING BUT NOT LIMITED TO PHONE AND EMAIL, BE LIABLE TO ANY USER OF THE WEBSITE OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR LOSS OF USE) ARISING OUT OF THE USE OR INABILITY TO USE THE WEBSITE OR ANY INFORMATION CONTAINED THEREIN, WHETHER BASED UPON WARRANTY, CONTRACT, TORT, OR OTHERWISE, EVEN IF HYDRO SYSTEMS HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

    You hereby acknowledge that the preceding limitation on liability will apply to all content, products and services available through the Website or other channels. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions liability is limited to the fullest extent permitted by law. Regardless of the previous paragraphs, if Hydro Systems is found to be liable, Our liability to You or to any third party is limited to the greater of (a) the amount in dispute not to exceed the total amount which You paid to Us in the twelve (12) months prior to the action giving rise to the liability or (b) USD $100.

  7. Indemnification; Hold Harmless.

    You agree to indemnify and hold Hydro Systems and its agents harmless from all claims or demands, including reasonable attorneys’ fees, made by any third party due to or arising out of Your use of the Website, or Your violation of these Terms.

  8. Legal Disputes.

    PLEASE READ THIS SECTION CAREFULLY, AS IT CONTAINS AN ARBITRATION AGREEMENT. THIS SECTION MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. THIS SECTION ALSO CONTAINS A WAIVER OF ANY AND ALL RIGHTS TO PROCEED IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION (COLLECTIVELY, “CLASS ACTION”) IN ARBITRATION OR LITIGATION.

    Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. Any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted. In arbitration You may be entitled to recover attorneys’ fees from Us to the same extent as You would be in court.

    YOU AND HYDRO SYSTEMS AGREE THAT ANY DISPUTE (DEFINED BELOW) SHALL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION EXCEPT AS OTHERWISE PROVIDED HEREIN. NOTWITHSTANDING THE FOREGOING, EITHER PARTY MAY ELECT TO HAVE INDIVIDUAL CLAIMS HEARD IN SMALL CLAIMS COURT IF THOSE CLAIMS QUALIFY FOR SMALL CLAIMS COURT AND SO LONG AS THE MATTER REMAINS IN SUCH COURT AND IS NOT REMOVED OR APPEALED TO A COURT OF GENERAL JURISDICTION AND ADVANCES ONLY ON AN INDIVIDUAL (NON-CLASS ACTION BASIS). ANY DISPUTE OVER WHETHER CLAIMS QUALIFY FOR SMALL CLAIMS COURT IS FOR THE SMALL CLAIMS COURT OR OTHER COURT OF COMPETENT JURISDICTION TO DECIDE.

    You and Hydro Systems agree that these Terms affect interstate commerce and that the Federal Arbitration Act, 9 U.S.C. § 1 et seq., and federal arbitration law apply to this Arbitration Agreement and govern all questions as to whether a Dispute is subject to arbitration. Where otherwise applicable, these Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. You acknowledge and agree that any claims, lawsuits, or other actions (collectively, “Disputes”) arising under or relating in any way to (i) these Terms (including without limitation interpretation, breach, termination or validity of the Terms), (ii) use of the Website, or (iii) any products or services provided or sold by Hydro Systems, shall be subject to and resolved solely through binding arbitration following rules established by the American Arbitration Association, except for small claims actions, discussed above or to the extent otherwise disallowed under applicable law. Any such arbitration proceeding shall be brought on an individual basis and shall not be consolidated with any dispute of any other party. You agree that neither You, nor Your representatives, shall have the right or authority to bring any Claims on a class action basis or on bases involving Claims brought in a purported representative capacity on behalf of the general public, other users, or other persons similarly situated to the extent such waiver is allowed by law.

    These Terms do not prevent You from bringing Your Dispute to the attention of any federal, state, or local government agency.

    You agree that, by entering into these Terms, You and We are each waiving the right to a trial by jury or to participate in a class action and to a trial by jury to the fullest extent permitted by applicable law.

  9. Assignment.

    You may not assign these Terms, or any of Your rights or obligations hereunder, without the prior written consent of Hydro Systems. Hydro Systems may assign all or any part of its rights and obligations under these Terms, and any assignment will inure to the benefit of Our successors, assigns, and licensees.

  10. Severability.

    If any provision of these Terms, including the Privacy Policy, is found invalid, illegal, or unenforceable by any court of competent jurisdiction, the invalidity of such provision(s) shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect, as if such invalid, illegal, or unenforceable provision(s) had never been a part of these Terms. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. The Arbitration Agreement will survive the termination of these Terms.

  11. Survival.

    Sections 2 (Privacy), 5 (Ownership; Proprietary Rights), 6 (Limitation on Liability), 7 (Indemnification; Hold Harmless), 8 (Legal Disputes), 9 (Assignment), 10 (Severability), this Section 11 (Survival), 13 (No Waiver), and 14 (Copyright Policy) shall survive any termination of these Terms.

  12. Entire Agreement.

    These Terms, including Our PRIVACY POLICY, represent the entire agreement between the Company and You regarding the use of the Website. These Terms cancel and supersede all prior understandings between the Company and You regarding the rights and obligations set forth herein. No provision of these Terms shall be modified or amended except as expressly stated within the Terms.

  13. No Waiver.

    NO WAIVER OF ANY OF THESE TERMS BY HYDRO SYSTEMS IS BINDING UNLESS AUTHORIZED IN WRITING BY AN OFFICER OF HYDRO SYSTEMS AUTHORIZED TO AGREE TO SUCH WAIVER. IF THE COMPANY WAIVES A BREACH OF ANY PROVISION OF THE TERMS, ANY SUCH WAIVER WILL NOT BE CONSTRUED AS A CONTINUING WAIVER OF OTHER BREACHES OF THE SAME NATURE OR OF OTHER PROVISIONS OF THE TERMS AND WILL IN NO MANNER AFFECT THE RIGHT OF THE COMPANY TO ENFORCE ALL TERMS AT A LATER TIME.

  14. Copyright Policy

    Pursuant to Title II of the Digital Millennium Copyright Act, all claims of copyright infringement for material that is believed to be residing on the Website should be promptly sent in the form of written communication sent by email to info@hydrosystem.com. All claims must include the following information:

    1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
    2. Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at the Website are covered by a single notification, a representative list of such works at the Website;
    3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and that is to be removed or to have access disabled, and information reasonably sufficient to permit the material to be located on the Website;

Should any action proceed in court (other than in small claims court), we and You each irrevocably consent to the exclusive jurisdiction and venue of the federal and state courts of the State of California for the adjudication of all non-arbitral claims.
